1. Acceptance of Terms and Conditions
These website terms and conditions of use for deafblindontario.com, a DeafBlind Ontario Services (“DBOS”) website, constitute a legal agreement and are entered into by and between you and DBOS (“we”, “us”, “our”). The following terms and conditions, together with any documents or additional terms they expressly incorporate by reference (collectively, these “Terms and Conditions”), govern your access to and use of deafblindontario.com (the “Website”).
BY USING THE WEBSITE, YOU ACCEPT AND AGREE TO BE BOUND BY AND COMPLY WITH THESE TERMS AND CONDITIONS. IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, YOU MUST NOT ACCESS OR USE THE WEBSITE.
By using the Website, you represent and warrant that you have the capacity under applicable law to form a binding contract with DBOS and meet all of the foregoing eligibility requirements. If you do not meet all of these requirements, you must not access or use the Website.
2. Accounts & Privacy
The security of your personal information is very important to DBOS. However, the transmission of information via the Internet is not completely secure. Although DBOS does its best to protect your personal information, we cannot guarantee the security of your personal information transmitted through the Website. Any transmission of personal information is at your own risk. DBOS is not responsible for circumvention of any privacy settings or security measures contained on the Website.
The safety and security of your information also depends on you. To access certain features on the Website, you may need to register an account. When you register an account, you must provide accurate and complete personal information. You are responsible for obtaining your own access to the Website and your account. You are also responsible for the activity that occurs on your account, and you must keep your account password secure. DBOS in its discretion may cancel or suspend your account or reject, revoke, or require that you change or renew your credentials at any time without notice or liability to you or any other person.
3. Conditions of Use
Permitted/Restricted Use: Subject to these Terms and Conditions and all applicable laws, you may only use the Website for your own lawful, personal, non-commercial purposes, in the manner permitted by these Terms and Conditions and subject to all applicable other agreements between you and DBOS (“Other Agreements”) and applicable laws. Use of the Website for any other purpose or in any other manner is strictly prohibited. Without limiting the generality of the foregoing, you will not: (a) use the Website in a way that interferes with or threatens, damages, disrupts, compromises, or degrades the integrity, functionality, operation, performance, or security of the Website or DBOS’ systems or data, or to attempt to gain unauthorized access to DBOS’ systems or data; (b) index, crawl, catalogue, mirror, frame, scrape, cache, or otherwise collect or mine any data from the Website for any purpose whatsoever, using any technologies, tools, or methods (including robots, spiders, crawlers, or other automatic devices, programs, or methodologies) whatsoever; (c) license, sublicense, grant, sell, share, transfer, assign, pledge, publish, transmit, publicly display or perform, distribute, create any interest in, or otherwise give or make available or permit the use of the Website to or for the benefit of any other person; (d) alter, attempt to circumvent, destroy, obscure, conceal, modify or remove any notices (including proprietary rights notices), proprietary codes or locks, means of identification, digital rights tools or management information, security or control measures, or agreements on, in or in relation to, the Website; (e) attempt to circumvent the ordinary navigational structure, technical delivery systems, or display of the Website or attempt to access or use the Website or DBOS’ systems or data by any means that is not purposely made available to you by DBOS; (f) copy any ideas, features, or functions of the Website or create a product or service using the ideas, features, or functions of the Website; or (g) permit, assist, or encourage any other person to do any of the foregoing in this section 3.
Site Content Standards: You warrant and agree that your use of the Website and any User Submissions shall not:
- In any manner violate any applicable federal, provincial, local, or international law or regulation including, without limitation, any laws regarding the export of data or software, patent, trademark, trade secret, copyright, or other intellectual property, legal rights (including the rights of publicity and privacy of others) or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms and Conditions and our Privacy Policy.
- In any manner violate the terms of use of any third-party website that is linked to the Website, including but not limited to, any third-party social media website.
- Include or contain any material that is exploitive, obscene, harmful, threatening, abusive, harassing, hateful, defamatory, sexually explicit or pornographic, violent, inflammatory, or discriminatory based on race, sex, religion, nationality, disability, sexual orientation, or age or other such legally prohibited ground or be otherwise objectionable, such determination to be made in DBOS’ sole discretion.
- Involve stalking, attempting to exploit or harm any individual (including minors) in any way by exposing them to inappropriate content, or otherwise or ask for personal information as prohibited under applicable laws, regulations, or code.
- Involve, provide, or contribute any false, inaccurate, or misleading information.
- Include sending, knowingly receiving, uploading, downloading, using, or reusing any material that does not comply with these Terms and Conditions.
- Impersonate or attempt to impersonate DBOS, a DBOS employee, another user, or any other person or entity (including, without limitation, by using email addresses or screen names associated with any of the foregoing).
- Transmit, or procure the sending of, any advertisements or promotions without prior written consent from DBOS or encourage any other commercial activities, including, without limitation, the circulation of any “spam”, “junk mail”, “chain letter”, contests, sweepstakes, or other sales promotions, selling, bartering, advertising, or any other similar solicitation.
- Encourage any other conduct that restricts or inhibits anyone’s use or enjoyment of the Website, or which, as determined by DBOS, may harm DBOS or users of the Website or expose them to liability.
- Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, or alarm any other person.
- Promote any illegal activity, or advocate, promote, or assist any unlawful act.
- Give the impression that they originate from or are endorsed by DBOS or any other person or entity, if this is not the case.
The application of the foregoing list of Site Content Standards extends to any and all content, material, and information that you submit, post, publish, display, or transmit to the Website, to other users, or other persons through an Interactive Function or otherwise (collectively, “User Submissions”) and any and all Interactive Functions. All User Submissions must comply with all applicable laws. You are solely responsible and liable to any third party for the content of your User Submissions and its accuracy. For the avoidance of doubt, we are not responsible or liable to any third party for the content or accuracy of your User Submissions.
4. Proprietary Rights
Ownership: As between you and DBOS: (a) DBOS will at all times solely own and retain all rights, title, and interest (including all intellectual property rights) throughout the world in, to, and associated with the Website; and (b) neither you nor any other person will acquire any right, title, or interest in, to, or associated with the Website.
Trademarks: DBOS’ logo and other related trademarks and symbols are registered or unregistered trademarks, service marks, and trade names owned or licensed by DBOS. Any unauthorized use of those trademarks and service marks is strictly prohibited, and nothing in these Terms and Conditions or any Other Agreements will be construed as granting, by implication, estoppel, or otherwise, any licence or right to use any of those trademarks and service marks.
Feedback: If you create User Submissions or provide feedback to DBOS regarding the Website (including, but not limited to, any review, comments, ideas, or suggestions for corrections, enhancements, or improvements), then DBOS and its successors, assigns, and licensees may use such User Submissions and feedback for any and all purposes (including, but not limited to, to support, maintain, and improve the Website) without providing any compensation or attribution to you or any other person. DBOS may in its sole discretion modify your User Submissions or feedback (e.g. for grammar and spelling) prior to use.
Reservation: All rights not expressly granted by these Terms and Conditions or any Other Agreements are reserved by DBOS.
5. Third-Party Services & Links
The Website may contain links to other websites. DBOS makes no representations about any other websites that may be accessed from this Website. DBOS does not recommend, monitor, control, or endorse any third party advertising or content, including but not limited to the content on any third party websites, and is not responsible for such content or for any loss or damage that may arise from your use of such websites. Your use of third party websites is at your own risk and you are subject to any terms and conditions of such websites.
6. Site Monitoring and Enforcement, Suspension and Termination
DBOS, in its sole discretion, has the right, without provision of notice, to:
- Remove or refuse to post on the Website any User Submissions.
- Take such actions with respect to any User Submission deemed necessary or appropriate, including, without limitation, for violating these Terms and Conditions.
- Take appropriate legal action, including, without limitation, referral to law enforcement or a regulatory authority, or notifying the harmed party of any illegal or unauthorized use of the Website. Without limiting the foregoing, we have the right to fully cooperate with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Website.
- Terminate or suspend your access to all or part of the Website for any reason.
YOU WAIVE AND HOLD HARMLESS DBOS GROUP FROM ANY AND ALL CLAIMS RESULTING FROM ANY ACTION TAKEN BY DBOS RELATING TO ANY INVESTIGATIONS BY EITHER DBOS OR BY LAW ENFORCEMENT AUTHORITIES.
We have no obligation, nor any responsibility to any person, to monitor the Website or its use, and do not undertake to review material that you or other users submit to the Website, through an Interactive Function or otherwise. We cannot ensure prompt removal of objectionable material after it has been posted and we have no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party, subject to applicable laws.

9. Liability Exclusions/Limitations and Indemnity
LIABILITY EXCLUSIONS/LIMITATIONS: NOTWITHSTANDING ANY OTHER PROVISION OF THESE TERMS AND CONDITIONS OR ANY OTHER AGREEMENTS, AND TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (A) IN NO EVENT AND UNDER NO CIRCUMSTANCES WILL DBOS GROUP BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY PERSONAL INJURY, EMOTIONAL DISTRESS OR ANY DAMAGE OR LOSS (INCLUDING DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY DAMAGE OR LOSS, LOSS OF PROFIT, LOSS OF REVENUE, LOSS OF DATA OR INFORMATION, LOSS OF USE, LOSS OF PRIVACY, LOSS OF BUSINESS, LOSS OF OPPORTUNITY, LOSS OF PRODUCTIVITY OR ANY OTHER COMMERCIAL DAMAGE OR LOSS) ARISING FROM, CONNECTED WITH, OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE OR ANY RELATED MATTER; AND (B) IF, NOTWITHSTANDING THE FOREGOING OR ANY OTHER PROVISION OF THESE TERMS AND CONDITIONS OR ANY OTHER AGREEMENTS, DBOS GROUP IS LIABLE TO YOU OR ANY OTHER PERSON, THEN IN NO EVENT AND UNDER NO CIRCUMSTANCES WILL DBOS GROUP’S TOTAL AGGREGATE LIABILITY ARISING FROM, CONNECTED WITH, OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE WEBSITE OR ANY RELATED MATTER EVER EXCEED CDN$ 50.00. THIS SECTION 9 APPLIES TO LOSS AND DAMAGE HOWEVER CAUSED AND TO LIABILITY UNDER ANY THEORY (INCLUDING CONTRACT, TORT, STATUTE AND STRICT LIABILITY), REGARDLESS OF ANY NEGLIGENCE OR OTHER FAULT OR WRONGDOING (INCLUDING FUNDAMENTAL BREACH OR GROSS NEGLIGENCE) BY DBOS OR ANY PERSON FOR WHOM DBOS IS RESPONSIBLE, EVEN IF OTHER REMEDIES ARE NOT AVAILABLE OR DO NOT ADEQUATELY COMPENSATE YOU OR ANY OTHER PERSON FOR THE LOSS OR DAMAGE OR THE STATED REMEDY FAILS OF ITS ESSENTIAL PURPOSE, OR DBOS KNEW OR SHOULD HAVE KNOWN OF THE POSSIBILITY OF THE LOSS OR DAMAGE BEING INCURRED.
EXCEPTIONS: THE LAWS IN SOME JURISDICTIONS PROHIBIT OR LIMIT THE DISCLAIMER OF CERTAIN WARRANTIES AND CONDITIONS OR THE EXCLUSION OR LIMITATION OF CERTAIN LIABILITIES, AND SO THE DISCLAIMERS AND LIABILITY EXCLUSIONS AND LIMITATIONS IN THESE TERMS AND CONDITIONS MIGHT NOT APPLY TO YOU.
INDEMNITY: YOU WILL DEFEND, INDEMNIFY AND HOLD HARMLESS DBOS GROUP FROM AND AGAINST ANY AND ALL LOSSES, DAMAGES, COSTS, EXPENSES (INCLUDING LEGAL FEES), CLAIMS, COMPLAINTS, DEMANDS, ACTIONS, SUITS, PROCEEDINGS, OBLIGATIONS, AND LIABILITIES (INCLUDING LEGAL FEES AND EXPENSES AND SETTLEMENT PAYMENTS) ARISING FROM, CONNECTED WITH, OR RELATING TO YOUR USE OF THE WEBSITE OR YOUR NEGLIGENCE, MISCONDUCT, OR BREACH OF THESE TERMS AND CONDITIONS OR ANY OTHER AGREEMENTS. NOTWITHSTANDING THE FOREGOING, DBOS GROUP RETAINS THE RIGHT TO PARTICIPATE IN THE DEFENSE OF AND SETTLEMENT NEGOTIATIONS RELATING TO ANY THIRD PARTY CLAIM, COMPLAINT, DEMAND, ACTION, SUIT, OR PROCEEDING WITH COUNSEL OF ITS OWN SELECTION AT ITS SOLE COST AND EXPENSE.
DEFINITION: IN THESE TERMS AND CONDITIONS, “DBOS GROUP” MEANS DBOS AND EACH OF DBOS’ AFFILIATES, LICENSORS, SUPPLIERS, AND SERVICE PROVIDERS, AND EACH OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, CONTRACTORS, AGENTS, SHAREHOLDERS, DISTRIBUTORS, AND REPRESENTATIVES, JOINTLY AND SEVERALLY.
10. Governing Law & Dispute Resolution
The Website and these Terms and Conditions will be governed by and construed in accordance with the laws of Ontario and the federal laws of Canada applicable therein, without giving effect to any choice or conflict of law provision, principle, or rule and notwithstanding your domicile, residence, or physical location.
Any action or proceeding arising out of or relating to this Website and under these Terms and Conditions will be instituted in the courts of Ontario and/or the Federal Court of Canada, and you and DBOS irrevocably submit to the exclusive jurisdiction of such courts in any such action or proceeding. You waive any and all objections to the exercise of jurisdiction over you by such courts and to the venue of such courts.
11. Waiver
No failure to exercise, or delay in exercising, any right, remedy, power, or privilege arising from these Terms and Conditions operates, or may be construed, as a waiver thereof; and no single or partial exercise of any right, remedy, power, or privilege hereunder precludes any other or further exercise thereof or the exercise of any other right, remedy, power, or privilege.
12. Severability
If any term or provision of these Terms and Conditions is invalid, illegal, or unenforceable in any jurisdiction, such invalidity, illegality, or unenforceability shall not affect any other term or provision of these Terms and Conditions or invalidate or render unenforceable such term or provision in any other jurisdiction.
13. Entire Agreement
These Terms and Conditions and all Other Agreements together constitute the sole and entire agreement between you and DBOS regarding the Website and supersede all prior and contemporaneous communications, understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.
14. Changes
DBOS reserves the right in its sole discretion to revise and update these Terms and Conditions from time to time. Any and all such modifications are effective immediately upon posting and apply to all access to and continued use of the Website. You agree to periodically review these Terms and Conditions in order to be aware of any such modifications, and your continued use shall be your acceptance of those modifications.
The information and material on this Website may be changed, withdrawn, or terminated at any time in DBOS’ sole discretion without notice. DBOS will not be liable if, for any reason, all or any part of the Website is restricted to users or unavailable at any time or for any period.
